In early November, Carlyle sent notice that it wished to start several projects in the park to be covered by CIP assessments. The Board met with Carlyle and COB representatives on November 12 to review the projects and clarify the scope and need for funding. There was a follow up meeting to review the road works with the contractors chosen for the work. On December 13, Carlyle provided revised costs for the project. The scope of the projects remained unchanged despite feedback from the Board.
Since May 2017, Carlyle has invested in about $900,000 in maintenance projects in the park. This amount includes:
Carlyle has distinguished maintenance from Capital improvements using the following definition. Repairs to an asset to keep it operating properly are maintenance. When the asset degrades and needs to be replaced, this is a capital improvement. The Board offered an alternate definition: Costs to maintain an asset in its normal state of repair are considered maintenance and are an operating expense. Adding new assets, not maintaining what is essential in the facility, can be a CIP.
The current long term lease allows Carlyle to embark on projects that are deemed commercially reasonable and prudent to improve the park. These improvements are passed to the residents (via the Board) for review and approval. The improvements and charges must be approved within 30 days, or the park can proceed with the improvements without approval. Project costs include the actual work, plus costs for permits, engineering and other related costs. The project costs also include 7% interest charges.
Projects rejected by the board can be referred to arbitration for resolution. Project Sentinel was selected as the arbitrator for all disputes.

In reviewing the project materials presented, the Board noticed a number on incomplete proposals and missing information. All of the quotes were past their expiry date. Works projects did not include estimates for city permits and engineering review.
The Board feels that all of these items should be considered as maintenance items, and covered at Carlyle’s expense. We have asked for mediation using Project Sentinel. Further, the Board has asked Carlyle to waive any CIP assessments for those on the “Safety Net” program.
The PDRra Board meets regularly with Community Operating Systems (COS) to review open issues within the park. This is an opportunity to raise our concerns, and get first hand news of plans for the park.
